These Terms & Conditions (“Agreement”) govern the use of the website www.optimumdma.com (“Site”) and the digital marketing, website design, development, Shopify development, SEO, content marketing, branding, maintenance, and related services (“Services”) provided by Optin Biz Inc., doing business as Optimum DMA (“Company,” “we,” “us,” or “our”).
By accessing our Site or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by this Agreement. If you do not agree, you must not use our Site or Services.
1. Scope of Services
Optin Biz Inc., DBA Optimum DMA, provides professional services including, but not limited to:
Website design
Website development
Shopify development
SEO services
Content marketing and copywriting
Branding and graphics
Website maintenance and support
Retainer-based ongoing services
Other digital marketing or creative services as may be offered
The exact scope, deliverables, timelines, and project details will be defined in a written proposal, contract, or statement of work (“SOW”).
2. Client Responsibilities
To ensure proper delivery of Services, the Client agrees to:
Provide accurate, complete, and timely information
Supply required access, credentials, content, brand assets, or approvals
Respond promptly to messages and review requests
Maintain backups unless specific backup services are included
Avoid providing content or materials that violate copyrights or third-party rights
Project delays caused by missing information, lack of feedback, or unresponsiveness may extend deadlines and may result in additional charges.
3. Fees, Deposits & Payments
3.1 Deposit Requirement
A 50% non-refundable deposit is required to begin any project unless otherwise agreed in writing.
3.2 Final Payment
The remaining balance is due upon completion of the project, prior to the delivery of final files, site launch, or transfer of ownership.
3.3 Milestone Payments
For projects valued over $5,000, milestone payments may be offered based on project length and complexity.
3.4 Refund Policy
All payments are non-refundable, including deposits, milestone payments, and final payments. If a Client terminates the project early, no refunds will be issued.
3.5 Additional Fees
Additional revisions, added scope, or client-requested changes outside the SOW will incur extra charges at the Company’s standard rates.
4. Revisions & Scope Changes
Projects typically include a certain number of revisions depending on complexity. Additional revisions beyond the included amount will incur extra fees. Changes outside the original agreed scope constitute new billable work.
5. Portfolio & Case Study Use
Optin Biz Inc., DBA Optimum DMA, requires explicit written permission from the Client before displaying the Client’s project, brand assets, or results in our portfolio, marketing materials, or case studies. If permission is not granted, the work will not be displayed publicly.
6. Third-Party Costs & Tools
Client Responsibility for Third-Party Costs
All third-party expenses—including but not limited to apps, plugins, themes, hosting, domains, stock photos, and software—are the responsibility of the Client and must be paid directly by the Client.
Additional Fees for Installation
If the Client requests the Company to purchase, install, configure, or manage third-party tools, additional fees may apply.
Third-Party Limitations
The Company is not responsible for outages, bugs, feature changes, compatibility issues, or pricing changes caused by third-party platforms, apps, hosting, plugins, or services.
7. Access, Credentials & Security
The Client must provide all necessary administrative access (e.g., Shopify, WordPress, hosting, analytics). Upon project completion, the Client is required to remove the Company’s access. Optin Biz Inc., DBA Optimum DMA, does not store credentials and deletes access details after project completion. The Company is not liable for security issues arising from platforms, hosting environments, or third-party services.
8. Maintenance, Support & Warranty
Warranty Period
A 30-day warranty/bug-fix period is included after project launch.
Warranty Limitations
The warranty does not cover client-made changes, third-party conflicts, or new functionality requests.
Ongoing Maintenance
Maintenance plans are available upon request but are not included by default.
9. Timeline & Delivery
Timelines provided are estimates, not guarantees. Project times depend on variables including client responsiveness. Delays caused by the Client extend the schedule without penalty to the Company.
10. SEO Limitations & Disclaimers
Optin Biz Inc., DBA Optimum DMA, does not guarantee specific rankings, traffic increases, revenue increases, or performance outcomes. SEO services are provided using industry best practices, but results are influenced by search algorithms the Company does not control.
11. Limitation of Liability
To the fullest extent permitted by law, the Company’s total liability for any claim arising from this Agreement or Services is limited to $2,000 USD. The Company is not liable for lost revenue, profits, data loss, indirect damages, client-made errors, or third-party service failures.
12. Termination
Client Termination
The Client may terminate at any time; all payments remain non-refundable and work completed remains the Company’s property until all fees are paid.
Company Termination
The Company may suspend work if payment is late, the Client is unresponsive, violates this Agreement, or communications become unreasonably difficult.
13. Governing Law
This Agreement is governed by the laws of the State of New York, USA. Any disputes shall be resolved in courts located in New York, USA.
14. Amendments
We reserve the right to update these Terms & Conditions at any time. Updated terms take effect upon posting. Continued use of the Site or Services indicates acceptance of the updated terms.
